These Terms of Service ("Terms") govern your use of the Krate iOS application and any related web services ("Krate" or the "Service"), published by Finn Digital LLC ("Finn Digital," "we," "us," or "our"), a Florida limited liability company. If you do not agree to these Terms, do not download or use Krate.
Krate is independent third-party software. It is not affiliated with, endorsed by, certified by, or in any commercial relationship with:
Krate does not represent, warrant, or imply any special access to manufacturer systems beyond what is publicly available to licensed retailers. Manufacturer program terms, submission deadlines, and acceptance criteria are set by the manufacturers, not by Krate.
You are solely responsible for obtaining and maintaining all federal, state, and local licenses, permits, and certifications required to operate your retail establishment, including but not limited to tobacco retailer licenses, alcohol beverage licenses, health permits, and age-verification compliance obligations. Krate's compliance calendar is a convenience reminder tool, not a legal compliance service. Krate does not guarantee that its reminder database is complete, current, or applicable to your jurisdiction. Always verify license renewal deadlines directly with the issuing authority.
When you configure and use Krate's scan-data autopilot feature, you authorize Krate to submit scan-data reports to manufacturer program portals on your behalf, using credentials you supply. By enabling this feature you represent that:
Krate logs each submission for your records. If a submission fails or is rejected, Krate will notify you in-app. You are responsible for investigating and correcting any rejected submissions.
You must be at least 18 years old and a legal representative of a licensed retail business to create a Krate account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Krate is a subscription service billed per store location per month.

Violation of these rules may result in immediate account suspension or termination without refund.
Krate and all content within it — including the app interface, icons, copy, and underlying software — are the property of Finn Digital LLC and are protected by copyright and other intellectual property laws. You receive a limited, non-exclusive, non-transferable license to use the app for your internal business operations. No other rights are granted.
You retain ownership of all invoice data, scan-data, and business records you enter into Krate. You grant Finn Digital a limited license to store and process that data solely for the purpose of providing the Service to you.
Krate integrates with Firebase (Google), Stripe, Mailgun, and Anthropic Claude. Use of these services is subject to their respective terms of service. Finn Digital is not responsible for the availability, accuracy, or conduct of these third-party providers.
Krate is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that scan-data submissions will be accepted by manufacturer portals.
To the maximum extent permitted by applicable law, Finn Digital's total liability to you for any claim arising out of or relating to these Terms or your use of Krate shall not exceed the total subscription fees you paid to Finn Digital in the 12 months immediately preceding the claim.
In no event shall Finn Digital be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost rebates, lost data, or business interruption, arising out of your use of or inability to use Krate, even if we have been advised of the possibility of such damages.
Some jurisdictions do not allow the limitation of certain warranties or damages. In those jurisdictions, the above limitations apply to the fullest extent permitted by law.
You agree to indemnify, defend, and hold harmless Finn Digital LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of Krate; (b) any scan-data you submit through the Service; (c) your violation of these Terms; or (d) your violation of any applicable law or the rights of any third party.
You may terminate your account at any time by cancelling your subscription and deleting the app. We may suspend or terminate your access immediately if you violate these Terms or if we reasonably believe your use of the Service poses a legal or security risk. Upon termination, your right to use Krate ceases. We will retain your data for 30 days after termination to allow you to request an export, then delete it in accordance with our Privacy Policy.
Before filing any legal action, you agree to contact us at [email protected] and give us 30 days to attempt to resolve the dispute informally. If the dispute cannot be resolved informally, it shall be submitted to binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. The arbitration will be conducted in Gainesville, Florida, or remotely by mutual agreement. Judgment on the award may be entered in any court of competent jurisdiction. You waive any right to participate in a class action or class-wide arbitration.
These Terms are governed by the laws of the State of Florida, United States, without regard to its conflict-of-laws principles. To the extent any dispute is not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in Alachua County, Florida.
We may update these Terms from time to time. We will notify active subscribers by email at least 14 days before material changes take effect. Continued use of Krate after the effective date constitutes your acceptance of the revised Terms.
